These Business Terms supplement the RecruitersForum Terms of Service, which are incorporated herein by reference.

Job Postings

A single "posting" is an individual position placed on the RecruitersForum career site, for one (1) month. A Customer's ability to access sites on the RecruitersForum and post job opportunities is determined by the service package selected by a Customer on this Order Form. In accordance with its service package, a Customer can post job openings to sites on the RecruitersForum, and receive resumes for those postings. A Customer may edit free of charge each job posting, including job title and category, while the job posting is active. There is no limit to the number of edits while the posting is active. Customers can begin posting job listings under their Subscriptions and Membership Subscriptions upon execution of this Order Form and RecruitersForum's completion of account activation.

Job Postings Billing

Customers with Subscriptions and Membership Subscriptions will begin their billing cycle on the first day of the month following execution of this Order Form. Customers with Subscriptions and Membership Subscriptions will be billed at the applicable contractual monthly rate for full calendar month periods. Customers purchasing postings on a Pay-Per-Posting basis will be billed upon each posting, with hard copy invoices distributed shortly thereafter. Pay-Per-Posting service invoices are also available at any time online through a Customer's account. Customers using the Express Post service will be billed through their credit cards immediately after online verification of their credit card information upon submission of their Order Forms. RecruitersForum reserves the right to adjust automatically a Customer's Subscription or Membership Subscription level if a Customer posts a number of jobs which exceeds the total number of postings for which the Customer originally subscribed. RecruitersForum also reserves the right to adjust a Customer's Valued Customer Discount, if any, to reflect actual posting volumes.

Advertising

In an advertising campaign, RecruitersForum arranges the media schedule and will prepare the banner creative work if suitable creative work is not supplied by the Customer. As part of its advertising services, RecruitersForum offers advertising reports, including impression summaries. "Impressions" are measures of the number of times a banner is displayed during a calendar month. A one-month run date is defined as the period from 12 midnight on the first day of the calendar month to 12 midnight on the last day of the calendar month. Actual impressions for any given month may vary. Membership Subscriptions include charges for developing the Customer's banner advertising. A Customer without a Membership Subscription will be charged for banner advertising development if RecruitersForum provides such services. Custom-created banners, which include animation, graphic creation and special features, are subject to negotiated fees. CUSTOMERS MUST APPROVE ALL ADVERTISING CREATIVE WORK PRIOR TO BEING RUN ON RECRUITERSFORUM SITES. Due to the trademark and graphic regulations of media campaigns, RecruitersForum will provide the proposed creative work for a Customer's approval within five (5) business days of running an advertisement. If a Customer does not approve the creative work, the Customer will be billed the full monthly advertising rate for the period the advertisement was to run. Upon completion of the media scheduling and approval of the creative work, RecruitersForum will commit advertising inventory at which time the Customer will be responsible for all advertising charges.

Advertising Billing

A Customer will be billed for advertising services provided following each monthly period RecruitersForum runs the Customer's banner advertising. Payments. All charges for services provided by RecruitersForum are due within thirty (30) days of receipt of the RecruitersForum invoice ("Due Date"). Any amount not paid in full by the Due Date will be considered overdue and incur overdue interest of 1.5% per month.

RecruitersForum provides immediate assistance via its Help feature and Frequently Asked Questions (both available on the RecruitersForum.com web site). Customer Service and Tech Support Representatives are also available by telephone at 415.256.2970 from 8:00 a.m. to 5:00 p.m. Pacific Time (ET) and by e-mail at techsupport@recruitersforum.com

Customer Content

Customers retain full ownership of their creative work and account data including company information and policies, job postings, and resumes. Customers are solely responsible for the accuracy of this information, and RecruitersForum will refer any inquiries regarding such information to the Customer. System Requirements. For the RecruitersForum to function properly, Customers should ensure that their system meets the minimum technical requirements, which can be found in the Customer Help section of the logon page (www.RecruitersForum.com).

Inactive Accounts

A Customer Service Representative will contact a Customer whose account has been inactive (i.e., no job posting activity) for ninety (90) consecutive days. Account Deactivation and Termination. RecruitersForum may deactivate and then terminate an account if a Customer has breached these Business Terms or the Terms of Service. Upon such deactivation, all postings will be removed from the RecruitersForum, unless the Customer has made alternative arrangements with Customer Service. Deactivation and/or termination do not relieve a Customer from the obligation to pay all outstanding charges due to RecruitersForum. RecruitersForum may charge a cancellation fee not to exceed 50% of the remaining term of any Subscription or Membership Subscription service.

Precedence

In the event of a conflict or inconsistency between the Terms of Service and the Business Terms of any Order Form accepted by RecruitersForum, the Business Terms of such Order Form shall prevail.

Guarantee

RecruitersForum, Inc. will guarantee that within 60 days of the establishment of your account that the Customer will be successful in posting jobs, in accordance with the terms of your RecruitersForum contract or order. Customer agrees that they will work in good faith with the RecruitersForum, Inc. Customer Care team to complete setup and begin posting jobs within one week of signing their order. If Customer and RecruitersForum, Inc. follow the guidelines set forth and the service does not meet your requirements, Customer will notify RecruitersForum, Inc. immediately and RecruitersForum will have 30 days to remedy the issues. If after these 30 days both parties cannot agree on the remedy, RecruitersForum, Inc. and Customer will agree to terminate their contract. Customer agrees that they are obligated for any outstanding payments for any services rendered during the guarantee period in accordance with the terms of your RecruitersForum contract or order.
